Version 1.3.3Effective: 14 May 2026

Product Schedule A v1.3.3

MARKETINGSENSE

PRODUCT SCHEDULE A

Collateral Advisor, a GrowthMind product operated by ImpactPlus Ventures LLP

Effective Date: 14 May 2026 | Version: 1.3.3

This Product Schedule forms part of and is subject to the MarketingSense Master Services Agreement (MSA). Terms defined in the MSA have the same meaning in this Schedule. In case of conflict between this Schedule and the MSA, this Schedule prevails for matters specific to Collateral Advisor.

1. SERVICE DESCRIPTION

1.1 About Collateral Advisor

Collateral Advisor is an AI-powered pre-MLR (Medical, Legal, Regulatory) advisory tool that helps pharmaceutical marketing teams create more effective collaterals by reviewing them across five critical dimensions simultaneously before they reach the MLR review stage.

Core Value Proposition: An effective collateral does more than pass MLR review. It engages the doctor, presents data credibly, delivers a clear message, and supports the conversation your field force wants to have. It generates incremental value for your brand with every use.

1.2 The Five Dimensions of Review

Creating collaterals that truly work requires getting multiple dimensions right simultaneously:

  • Medical Accuracy, so doctors trust your data and your corporate reputation is protected

  • Regulatory Readiness, to reduce compliance risk and avoid approval delays

  • Visual Design, so doctors engage and find the material relevant

  • Clear Messaging, so your key message lands and is remembered

  • Proper Structure, so information flows and attention is maintained

When any of these dimensions fall short, you are not getting the full return on your marketing collateral investment, and most importantly, your field force time and energy investment.

1.3 Five AI Expert Modules

Each reviewer focuses on a specific dimension. Together, they help identify potential issues and improvement opportunities:

1. Medical Reviewer

Reviews scientific claims and evidence alignment:

  • Examines clinical claims (efficacy, safety, dosing) for scientific accuracy concerns

  • Checks if citations are present and appear to support the claims

  • Generates PubMed search queries to help verify claims against published literature

2. Compliance Reviewer

Flags potential regulatory concerns for MLR attention:

  • Scans against UCPMP 2024, D&C Act 1940, DMRA 1954, ASCI Code, CCPA Guidelines

  • Identifies potentially prohibited terms with context consideration

  • Checks for required elements based on collateral type and drug schedule

3. Visual Design Reviewer

Examines images and visual elements:

  • Reviews medical illustrations and diagrams for accuracy concerns

  • Checks if visuals align with and support the text message

  • Flags cultural sensitivity considerations for Indian market

  • Identifies potential issues with graphs and charts

4. Copywriting Reviewer

Evaluates messaging clarity and suggests improvements:

  • Assesses message clarity and audience appropriateness

  • Reviews headline impact and call-to-action effectiveness

  • Identifies grammar, spelling, and punctuation errors

  • Provides alternative text suggestions for flagged issues

5. Best Practices Reviewer

Reviews structure and provides educational guidance:

  • Examines information flow and section ordering

  • Checks content density and readability for target audience

  • Reviews data presentation in charts and tables

  • Provides educational context explaining why best practices matter

1.4 Built-In Knowledge Base

The Service includes built-in expertise across five areas:

  • Indian Pharmaceutical Regulations: UCPMP 2024, Drugs & Cosmetics Act 1940, DMRA 1954, ASCI Code, CCPA Guidelines, CDSCO circulars

2. PRODUCT-SPECIFIC DEFINITIONS

In addition to the definitions in the MSA, the following definitions apply to this Product Schedule:

"AI Output"

means any assessment report, risk assessment, compliance check, recommendation, or other result generated by the Service's AI expert modules (Medical Reviewer, Compliance Reviewer, Visual Design Reviewer, Copywriting Reviewer, Best Practices Reviewer).

"Collateral" or "Content"

means any pharmaceutical marketing material uploaded to the Service for assessment, including visual aids, leave-behinds, detail aids, reminder cards, product monographs, digital assets, emailers, conference posters, patient brochures, and other promotional materials.

"MLR"

means Medical, Legal, and Regulatory review, the standard industry process for approving pharmaceutical promotional materials.

"Regulatory Knowledge Base"

means the Service's curated database of Indian pharmaceutical regulations, prohibited terms, required elements, DMRA disease lists, collateral standards, and compliance guidelines.

"Expert Assessment Unit" or "EAU"

means the unit of usage purchased under your subscription plan that is consumed when Collaterals are processed through the Service. 1 EAU = 1 page assessed by all 5 AI reviewer modules.

"Assessment Report"

means the structured AI-generated assessment of your Collateral, including expert-wise findings across all five dimensions, risk scores, compliance flags, improvement recommendations, and educational guidance.

"Trial EAU"

means a unit of free trial usage made available to a trial user as described in Section 5A.

"Accessing the Service"

means logging into the MarketingSense Platform with valid credentials, or any post-login activity within the Platform, including uploading collateral, generating Assessment Reports, viewing AI Outputs, managing users, or consuming EAUs. For the avoidance of doubt, merely visiting the public marketingsense.in website does not constitute "accessing the Service" for the purposes of this Schedule or the MSA.

3. CRITICAL ADVISORY DISCLAIMER

HOW IT WORKS: The Service flags potential issues and provides recommendations. Your MLR team reviews the improved material and makes the final approval decision. We help you prepare better. Your MLR team decides what goes to field.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

(a) The Service provides PRE-MLR READINESS ASSESSMENTS FOR ADVISORY PURPOSES ONLY;

(b) The Service DOES NOT provide compliance certification, regulatory approval, or replace your internal MLR review process;

(c) ALL Assessment Reports and AI Outputs REQUIRE REVIEW AND APPROVAL by your qualified Medical, Legal, and Regulatory (MLR) teams before use;

(d) Service outputs shall NOT be construed as medical advice, legal counsel, regulatory guidance, or formal compliance certification;

(e) YOU bear FULL AND EXCLUSIVE responsibility for all final decisions regarding your pharmaceutical marketing materials;

(f) Service outputs are NOT suitable for direct use in regulatory filings, promotional materials, or doctor-facing communications without independent professional validation by qualified experts.

4. SERVICE LIMITATIONS

4.1 AI Model Limitations

You acknowledge and accept the following limitations:

  • AI models are trained on diverse datasets and may reflect limitations, biases, or inaccuracies;

  • AI outputs may occasionally produce incorrect, incomplete, or inconsistent results;

  • AI model updates may result in different outputs for similar inputs over time;

  • The Service flags potential issues for consideration. It does not make final decisions. Your MLR team may determine a flagged item is acceptable in context.

4.2 Regulatory Knowledge Base Limitations

  • The Regulatory Knowledge Base may not cover all evolving, highly specialized, or recently enacted pharmaceutical regulations;

  • Regulatory interpretations may vary and the Service reflects our understanding, not official regulatory positions;

  • Knowledge base updates occur periodically and may not reflect real-time regulatory changes;

  • State-specific regulations, international guidelines, or niche therapeutic area requirements may not be fully covered.

We make no warranties regarding the accuracy, completeness, timeliness, or fitness for purpose of any AI Output or Assessment Report. You use all outputs at your own risk and discretion.

5. EAU-BASED USAGE MODEL

5.1 EAU System

The Service operates on an EAU-based usage model:

EAU Consumption: 1 EAU = 1 page. All 5 AI reviewer modules examine every page, no extra charge. A 12-page visual aid uses 12 EAUs.

No User Seat Limits: Your subscription does not limit the number of Authorized Users; you may add unlimited users from your Organization.

EAU Allocation: Your subscription includes a defined number of EAUs as specified in your chosen plan.

Cumulative Usage: All usage by all Authorized Users under your subscription is cumulative and deducted from the Account Administrator's EAU pool.

EAU Tracking: Real-time EAU balance is visible in the Account Administrator's dashboard.

Additional EAUs: Top-up packs are available for existing subscribers who need more EAUs.

5.2 EAU Expiration & Rollover

Active Subscription: EAUs remain valid while your subscription is active.

Rollover on Renewal: When you renew, up to 25% of your plan's quarterly allocation may roll over to the next quarter. Rollover caps: Growth Plan, maximum 50 EAUs; Scale Plan, maximum 200 EAUs.

Post-Subscription Grace: If you do not renew, unused EAUs remain available for 90 days after subscription end. After the 90-day grace period, remaining EAUs expire.

Top-Up Expiry: Top-up EAUs are valid for 90 days from purchase date, regardless of subscription status.

Consumption Order (FIFO): When multiple EAU pools exist (Pilot, Trial, Top-up, Subscription), the system consumes EAUs in order of earliest expiry first.

5.3 EAU Refund Policy

EAUs are non-refundable once added to your account, except as provided in the MSA refund policy. Unused EAUs at the end of your subscription period are subject to the expiration policy above. Trial EAUs are non-refundable in any circumstance.

5A. FREE TRIAL PROVISIONS

5A.1 Trial Allocation

The free trial of Collateral Advisor is a promotional offering provided at ImpactPlus's sole discretion. ImpactPlus may make available a free trial consisting of an allocation of Trial EAUs per email address per calendar month, the size and frequency of which shall be determined by ImpactPlus at its sole discretion. The free trial is not a vested right and ImpactPlus may modify, suspend, or withdraw the trial offering at any time. Trial EAUs do not roll over, are not refundable in any form, and are not exchangeable for paid credits.

5A.2 Application of Terms

Trial users are bound by all provisions of this Product Schedule A and the Master Services Agreement, save where a provision is expressly stated to apply only to paid subscribers. For the avoidance of doubt, Section 6 (Competitor Restriction), Section 7 (Product-Specific Use Restrictions), and Section 8 (Your Compliance Responsibilities) apply with full force to trial users.

5A.3 Single-Account Rule

A natural person or an Organization may register for the free trial through one email address only, save where ImpactPlus has expressly authorised an agency-style trial in writing under Section 5A.4. Creation of multiple trial accounts by the same individual or Organization, including through use of secondary email addresses, alias addresses, or addresses belonging to other persons, constitutes a material breach of these terms.

5A.4 Credential Sharing and Agency Trials

Trial credentials may not be shared with any person other than the registered trial user. Group access, agency-style access, or any other form of multi-user trial access is prohibited, save where ImpactPlus has expressly authorised such access in writing in advance, in which case the terms of that written authorisation shall govern the scope and duration of the agency-style trial. Trial credentials may not be shared, sub-licensed, or transferred to any third party in any other circumstances.

5A.5 No Automated Access

Trial users shall not access the Service through any automated means, including scripts, bots, headless browsers, or programmatic interfaces, save where such access has been expressly authorised in writing by ImpactPlus.

5A.6 Output Use Restrictions

Trial Assessment Reports and AI Outputs are provided solely to enable the trial user to evaluate the Service. Trial outputs shall not be: (a) distributed or republished outside the trial user's Organization; (b) used as the operational basis for finalising, approving, or releasing pharmaceutical promotional collateral that will be deployed in the market or shared with doctors; (c) submitted in any external regulatory, compliance, or commercial process; or (d) referenced in any external communication outside the trial user's Organization. For the avoidance of doubt, internal use of trial outputs by the trial user for the purpose of evaluating whether to subscribe to a paid plan is permitted and is the intended use of the trial.

5A.7 No Substitute for Qualified Review

Trial outputs are advisory pre-MLR readiness assessments and do not constitute compliance certification or regulatory clearance. Trial users acknowledge that no decision on promotional collateral should be made on the basis of a trial Assessment Report alone.

5A.8 Output Watermarking

Every trial Assessment Report and AI Output carries a visible watermark identifying it as a trial-generated output. Removal, obscuring, or alteration of this watermark constitutes a material breach of these terms.

5A.9 Termination of Trial Access

ImpactPlus may suspend or terminate trial access immediately, with or without notice and at its sole discretion, for any breach of these provisions or the Master Services Agreement, or for any reason ImpactPlus considers reasonable in the circumstances. No refund or credit shall be payable on termination of trial access. Termination of trial access does not waive ImpactPlus's right to pursue any other remedy available at law for breach of these provisions.

6. COMPETITOR RESTRICTION

IMPORTANT RESTRICTION: You shall not access or use MarketingSense if you are employed by, contracted with, or acting on behalf of any entity that develops, markets, or operates services that compete with the Platform, including pre-MLR assessment tools, pharmaceutical compliance platforms, or AI-powered pharma marketing collateral advisory services.
